Lodgify Affiliate Program Terms & Conditions

These are the terms and conditions for joining the Lodgify Affiliate Program (the “Affiliate Program”) operated by Codebay Solutions Limited, a company incorporated in England and Wales with company number 5903966, whose registered office is at Magma House, 16 Davy Court Way, Castle Mound Way, Rugby, Warwickshire, CV23 0UZ, United Kingdom (“Lodgify”). These terms (the “Affiliate Program Agreement” or the “Agreement”) describe how we will work together and other aspects of our business relationship. It is a legal document so some of the language is necessarily “legalese” but we have tried to make it as readable as possible.

We may update or replace these terms at any time, including if the Affiliate Program changes or ends. Any updates will be posted on the affiliate dashboard and will take effect upon posting. If you do not agree to the updated terms, you may terminate your participation as described below.

1. Applying for our Affiliate Program

You are currently applying for the Lodgify Affiliate Program. We reserve the right to decline or remove your enrollment from the program at our discretion. As soon as your application is accepted, you may start sharing your affiliate link and earning commissions. Please note that we may request additional information from you in order to evaluate your application. If we do not notify you that you are accepted to participate in the Affiliate Program within thirty (30) days of your application, your application is considered to be rejected.

If you are accepted to participate in the Affiliate Program, then upon notification of acceptance, these terms shall apply in full force and eﬀect, until terminated, pursuant to the terms set forth below. Your continued right to participate in the Affiliate Program is conditioned upon your ongoing compliance with the terms and conditions of this Agreement. If you do not agree with (or cannot comply with) the terms and conditions set forth below, do not register for our Affiliate Program.

1.1 Who can join our Aﬀiliate program

You must provide your legal full name, a valid email address, a valid paypal email address, your business name, your website URL or social media profile from you’ll be referring users to Lodgify, your profession and how do you plan to promote Lodgify, and any other information requested in order to complete the signup process for an Affiliate account (“account”).

Each account is for use by either a single legal entity (e.g. a company or a partnership) or an individual user. We do not permit you to share your username and password with any other person or with multiple users on a network. Responsibility for the security of any user names and passwords issued (including those of any invitees) rests with you.

Lodgify customers are excluded from the Affiliate Program. If you're a Lodgify customer, we reserve the right to suspend or delete your aﬀiliate account immediately without paying any commission. Instead, Lodgify customers can subscribe to our customer referral program which can be found in their Lodgify account in the upper-right menu as "Refer & Earn".

Lodgify oﬀicers, directors and employees are excluded from the Affiliate Program as well.

2. Commission Structure

Your affiliate dashboard is unique to you. It contains everything you'll need to promote Lodgify, our site, and our product (“Lodgify Services”), including:

You can also access your aﬀiliate dashboard by downloading the aﬀiliate dashboard by LeadDyno app to your smartphone.

Each link provided has an Aﬀiliate ID attached. You must post the full URL in order for us to track your sales and traﬀic, so please be sure to use your full aﬀiliate link.

When traﬀic reaches our website via your aﬀiliate link, you will receive credit for the first new purchase. Your progress in each commission tier mentioned below will be reflected in real-time on your aﬀiliate dashboard.

If a Lodgify new purchase is made by someone who visited our site from your aﬀiliate link, we will register their purchase and credit the sale to you, provided that the conditions set forth herein are met. As these referrals become paying customers, you will earn a commission for each of their payments to Lodgify up to the first year, subject to the terms set forth herein.

2.1. Commission Eligibility

To be eligible for a commission payment, your referrals must:

Sign-up as a Lodgify customer using any of your personalized affiliate tracking links
Be a new customer, i.e. a user which has never used the Lodgify Services before;
Maintain an active paid subscription to the Lodgify Services for at least thirty (30) consecutive days after sign-up as a new customer;
Be accepted by us as a valid new customer in accordance with our internal validation and fraud-prevention policies.

Any purchase made by a customer without all of the above conditions being met will not be eligible for any commission. More specifically, a referral shall not qualify for commission in any of the following cases:

The customer is a pre-existing Lodgify customer;
Subscription renewal after 12 months;
Churn within the initial 30-day period;
Upgrade, expansion subscription, add-ons, or tier migration;
A new subscription initiated through another source and subsequently renewed or upgraded via an Affiliate link;
Referrals generated before official acceptance into the Affiliate Program.

2.2 Commission Rates and Tier Structure

2.2.1 Commission Rates

Commissions start at 20% and may increase based on your sales performance under our tiered commission structure.

For each new customer you refer to Lodgify, you will receive a percentage of their monthly, yearly, or bi-yearly subscription payments for up to twelve (12) months from the date of their first subscription.

No commissions will be payable:

After the 12-month period has elapsed; or
If the referred customer refunds or cancels their subscription.

Commissions are calculated based on the net amounts received from new customers. For the purposes of this Agreement, “net amount” means the total payments received from a new customer, minus:

Any applicable sales tax; and
Any reclaimed, refunded, or reversed amounts.

2.2.2 Tier Structure

Our commission system operates on a tiered structure. Advancement between tiers is determined by your lifetime accumulated sales amount, which refers to the total value (tax excluded) of subscriptions paid by your referred customers. This amount can be tracked in your affiliate dashboard.

Upon joining the Affiliate Program, you will start at:

Tier 3 – Starter
You will earn a 20% commission on your referrals’ monthly, yearly, or bi-yearly payments for up to one year from the first subscription date.

You may advance to:

Tier 2 – Champion
Reached when accumulated sales from your referrals equal $3,000 (tax excluded).
Commission rate: 25% for up to one year from each referred customer’s first subscription date.

Tier 1 – Master
Reached when accumulated sales from your referrals equal $10,000 (tax excluded).
Commission rate: 30% for up to one year from each referred customer’s first subscription date.

Tiers are reassessed on a monthly basis to determine whether an affiliate moves up or down based on performance.

An affiliate may move down a tier if they fail to achieve at least 50% of the sales amount required for that tier within the previous six (6) months.

2.2.3 Promotional Commission Bonuses

From time to time, Lodgify may, at its sole discretion, offer temporary promotional commission increases (“Promotional Bonuses”). Promotional Bonuses do not modify the standard commission tier structure and apply only during the specific promotional period communicated by Lodgify.

Promotional Bonuses may include a commission increase during promotional campaigns selected by Lodgify in its sole discretion.

Promotional Bonuses may be applicable under the following conditions:

Apply only to new eligible subscriptions generated during the specified promotional period;
Do not apply retroactively;
Do not extend beyond the communicated promotional timeframe;
May be modified, suspended, or cancelled at any time at Lodgify’s sole discretion;
Do not create a vested right or guaranteed entitlement for the Affiliate.

Unless explicitly stated otherwise in writing, Promotional Bonuses apply only to the first eligible subscription payment and do not permanently increase the Affiliate’s base tier commission rate.

2.3 Commission payment

2.3.1 Commission validation

Commission validation and payment operate on a monthly cycle:

Referrals generated in a given calendar month will be validated during the following calendar month, subject to compliance with Section 2.1; and
Validated commissions will be paid during the subsequent calendar month, subject to this Section 2.3.

Commission payments are issued once validation has been completed. You will receive payment via PayPal, so you must have a valid PayPal account in order to receive your commission payment.

We reserve the right to delay validation or payment in cases of suspected fraud, compliance review, or technical verification requirements.

No minimum payout threshold applies to commissions generated on or after January 1, 2025.

2.3.1 Invoicing requirements for Year-To-Date Commissions of $1000 or more

If your Year-to-Date (YTD) commission equals or exceeds $1,000, additional invoicing requirements shall apply.

You will be required to submit invoices if:

You surpass $1,000 in commissions within the first month of a calendar year; or
You accumulate $1,000 or more in commissions on a YTD basis at any point during the calendar year.

Once you reach the $1,000 YTD threshold, you must submit an invoice on a monthly basis, even if commissions earned in subsequent months fall below USD $1,000.

You are solely responsible for issuing and submitting your own invoices in accordance with our invoice guidelines and any applicable legal requirements. In particular, your invoices must:

Comply with the invoice guidelines provided by Lodgify;
Reflect the commission amount communicated by us in our commission notification;
Match your registered payment details, including PayPal information; and
Be submitted within fifteen (15) days from receipt of our commission notification.

Submission of a valid and compliant invoice is a condition precedent to receiving any commission payment once the threshold has been met. Failure to submit a compliant invoice may result in delayed or withheld payment, and may lead to suspension or removal from the Affiliate Program in the event of repeated or material non-compliance.

Payments will be processed within a maximum of fifteen (15) days from the receipt of a valid invoice.

The invoicing process described above applies to commissions generated from 1 January 2026 onwards.

2.3.3 Currency and Payment Method

Commissions may be calculated, displayed, and paid in EUR, GBP, or USD. Lodgify reserves the right to determine the currency of payment.

Where currency conversion is required, Lodgify may apply reasonable market-based exchange rates at the time of payment.

Payments shall be made via PayPal unless otherwise agreed in writing. Affiliates are responsible for any PayPal fees, banking fees, or currency conversion costs.

2.3.4 Commission Limitations

Notwithstanding the foregoing or anything to the contrary in this Agreement, any commission owed to you will not be payable after 12 months from the accrual date if we have been unable to proceed with the payment, for instance, due to your failure to provide a valid and up-to-date Paypal account.

There are no guaranteed commissions, payouts, or commission tiers. Our commission structure may be updated from time to time, and you will be informed of these updates via electronic means, including your aﬀiliate dashboard, or by email. Any changes will become eﬀective immediately after we post them or notify them. Continued participation after any such update constitutes your acceptance of the revised commission tiers and terms.

We reserve the right to freeze, void, or reverse any or all commission at any time for any reason and without warning, including, but not limited to, any actual or suspected breach of this Agreement. In the event of any suspicious activity within your account, we may withhold commission payments until we are able to verify the transaction.

We will not pay more than one commission payment or other similar referral fee on any given customer subscription payment (unless we choose to at our discretion).

You are responsible for filing all tax returns and submitting all payments as required by any federal, state, local, or foreign tax authority arising from the commission payment under this Agreement and for the payment of all fees (including bank fees) applicable to the commission payment. Any amount due to you is considered as a gross payment and any tax or cost associated with such payment will be taken out of the commission. All amounts payable by us to you are subject to oﬀset by us against any amounts owed by you to us. We reserve the right to alter or change the commission amount.

3. Additional Program Benefits

Affiliates participating in the Lodgify Affiliate Program may be eligible, at Lodgify’s sole discretion, for additional program benefits depending on their commissions tier. These benefits are provided as supplementary incentives only and do not create vested rights. Benefits may vary depending on performance, affiliate status, and availability. Lodgify reserves the right to modify or withdraw these benefits at any time, at its sole discretion.

3.1 Free Lodgify Account

Affiliates across all tiers may be granted, at Lodgify's discretion, the possibility of having a free Lodgify account for a year under the Ultimate Yearly Plan through a unique coupon code. This coupon is valid for account activation for one time use only, up to a maximum value of $1,200.00. Any renewals, upgrades, or changes to the plan after the first activation won’t be covered by the discount and must be paid in full by the affiliate.

Only Affiliates who have never previously used Lodgify Services, meaning they are not and have never been associated with any trial, active, or inactive account, are eligible for this benefit.

For the avoidance of doubt, this benefit is available for one year only and cannot be renewed.

We reserve the right to accept, modify, suspend and/or terminate this benefit for the affiliate at any time, in our sole discretion and without notice, for any reason, including but not limited to your breach of this Agreement.

This account is provided exclusively for affiliate use and may not be transferred or resold.

3.2 Seasonal Promotions

Affiliates may be given access, at Lodgify's discretion, to exclusive seasonal promotions to generate additional commissions. Availability of seasonal promotions is subject to Lodgify’s internal marketing calendar, which may change without notice. We reserve the right to modify, suspend, or terminate this benefit at any time without prior notice, including (but not limited to) in cases of breach of this Agreement.

3.3 Quarterly Content Bonus

Affiliates may be eligible, at Lodgify's discretion, for quarterly content bonuses based on new content creation according to Lodgify’s guidelines. The bonus amount depends on the affiliate tier and will be: $100 in Tier 3 Starter, $200 in Tier 2 Champion and $300 in Tier 1 Master.

Eligibility for quarterly content bonuses is subject to approval by the affiliate team and depends on how the affiliate’s profile matches the campaign’s objectives. In the event the Parties agree on participation with a fixed bonus amount—separate from any standard commission structure outlined in this Agreement—the applicable terms shall be set out in separate specific terms or annex defining the scope of the initiative, the agreed-upon fixed fee, payment terms, and any other relevant provisions. Specific terms shall become binding upon acceptance by the Affiliate and, once accepted, shall form an integral part of this Agreement.

No Quarterly Content Bonuses shall be deemed agreed or payable unless and until the applicable specific terms have been accepted by the Affiliate.

In case of infringement of campaign’s guidelines, we reserve the right to suspend bonus payment or terminate this benefit at any time without prior notice, including (but not limited to) in cases of breach of this Agreement.

3.4 Marketing Resources

Affiliates at all tiers may have access, at Lodgify’s discretion, to marketing resources including images, videos, demos and guides to support their promotional activities.

Affiliates may only use these resources in compliance with the Trademarks clause below.

3.5 Discount Coupon

Affiliates in Tiers 1 Master and 2 Champion may be, at Lodgify’s discretion, eligible to receive personalized discount codes to share with their audiences. The discount percentage will depend on the affiliate tier: 15% for Tier 1 Master affiliates and 10% for Tier 2 Champion affiliates.

The coupon is valid for new customers only and may be applied for Professional and Ultimate Yearly or Bi-Yearly Plans. Customers who are already registered in Lodgify’s internal records will not be considered valid customers. Customers can apply this coupon one time only on their first purchase. Any renewals, upgrades or changes to the plan after the first activation won’t be covered by the discount and must be paid in full by the customer.

We reserve the right to accept, modify, suspend, and/or terminate this benefit for the affiliate at any time, in our sole discretion and without notice, for any reason, including but not limited to your breach of this Agreement.

If a customer uses only the discount coupon without also going through the affiliate’s unique link, Lodgify will not be able to attribute the sale to the affiliate. It is therefore the affiliate’s responsibility to ensure that their audience uses both the affiliate link and personalized coupon code.

3.6 Dedicated Support

Affiliates at Tier 1 Master and 2 Champion may qualify, at Lodgify’s discretion, to receive regular check-ins with a dedicated affiliate manager to support their growth and performance. Where possible, affiliates may have the opportunity to schedule check-ins with a dedicated affiliate manager.

3.7 Performance Recommendations

Affiliates at Tier 1 Master and 2 Champion may qualify, at Lodgify’s discretion, for a personalized website audit and performance recommendations provided by the affiliate team. This benefit is subject to availability and scheduling during regular check-ins.

3.8 Co-Marketing Opportunities

Affiliates in Tier 1 Master and 2 Champion may also be eligible, at Lodgify’s discretion, for PR and co-marketing opportunities, which may include, but are not limited to, co-hosted events, sponsored content, joint campaigns, or similar collaborative efforts.

Such initiatives are not guaranteed by Lodgify and will be considered on a case-by-case basis at Lodgify’s sole discretion depending on the affiliate’s profile and Lodgify’s ongoing marketing initiatives .Lodgify reserves the right, at its sole discretion, to evaluate each proposed initiative and to decide whether or not to participate. No marketing initiative shall be deemed agreed upon or binding unless its terms are expressly set out in separate, campaign-specific terms (the “Annex”). Each Annex will outline the specific terms, roles, and responsibilities related to the agreed activity.

In the event the Parties agree to carry out a specific marketing initiative involving a fixed fee—separate from any standard commission structure outlined in this Agreement—a dedicated Annex shall also be issued to govern the terms of that engagement. This annex shall define the scope of the initiative, the agreed-upon fixed fee, payment terms, and any other relevant provisions. Once accepted by the Affiliate, such Annex shall form an integral part of this Agreement.

In case an affiliate is also accepted into the Lodgify Influencer Program, the Lodgify Influencer Program Terms and these Affiliate Program Terms shall apply to each relevant initiative. However, in regards to the benefits, the Influencer Program Benefits shall take precedence and replace the Additional Program Benefits set out in these Affiliate Program terms.

4. Restrictions

4.1. Paid Advertising

Affiliates may run paid advertising campaigns, including Search Engine Marketing (Google Ads, Bing Ads), Meta Ads, TikTok Ads, and similar platforms, subject to the following restrictions:

You may not bid on or use the keyword “Lodgify” alone.
You may not use “Lodgify” in combination with other words (e.g., “Lodgify PMS”).
You may not use misspellings or variations such as “Logify” or similar confusingly similar terms.
You may not use Lodgify’s registered trademarks in a way that competes directly with Lodgify’s own advertising campaigns.
You may not create ads that imply endorsement, sponsorship, or official partnership beyond participation in the Affiliate Program.

These restrictions exist to prevent brand confusion, trademark misuse, and interference with Lodgify’s marketing efforts.

4.2. Other restrictions

You may not use your own Affiliate Link to subscribe to Lodgify Services for yourself, your own business, or any related party. You must ensure that referrals are genuine third parties who independently access Lodgify through your Affiliate Link for proper tracking purposes.
Lodgify customers are excluded from the aﬀiliate program. If you're a Lodgify customer, we reserve the right to suspend or delete your aﬀiliate account immediately without paying any commission. Instead, Lodgify customers can subscribe to our customer referral program which can be found in their active Lodgify account, and click on "Refer & Earn" in the upper-right menu.
Lodgify oﬀicers, directors, and employees are excluded from the Aﬀiliate Program as well.

4.3 Restriction violation

Notwithstanding any provision of these Aﬀiliate Terms, we are not obligated to pay any Aﬀiliate commissions if we determine, in our sole discretion, that:

You use your personal aﬀiliate link to subscribe to Lodgify or you subscribe to more than one account.
You have engaged in any fraudulent or deceitful behavior in connection with the Aﬀiliate Program, including, without limitation, if you, directly or indirectly, oﬀer any person a financial or other incentive to complete the sign-up process using your aﬀiliate link or attempt to redirect traﬀic from or divert Aﬀiliate commissions from, any other participant in the Aﬀiliate Program.
You referred new customers to Lodgify without your personal aﬀiliate link.
You referred new customers to Lodgify before your oﬀicial acceptance into the Aﬀiliate Program.
If the referred customer to Lodgify is not a new customer, meaning they already have a history with Lodgify, and this is not their first subscription.

Violation of the restrictions referred to in Section 4 may result in commission reversal, suspension, or termination.

5. Trademarks

You agree that we may identify you as a Lodgify Aﬀiliate and may use your name and/or logo solely for such purpose in its marketing resources. You furthermore grant us a worldwide, non-exclusive, non-transferable, and royalty-free license to use and display your trademarks, service marks, and logos (“Aﬀiliate Marks”) in connection with the Aﬀiliate Program and this Agreement.

During the term of this Agreement, in the event that we make our trademark available to you, you may use our trademark as long as you follow the usage requirements in this section.

You must: (i) only use the images of our trademark that we make available to you, without altering them in any way; (ii) only use our trademarks in connection with the Aﬀiliate Program and this Agreement; (iii) comply with our usage guidelines made available by us from time to time; and (iv) immediately comply if we request that you discontinue use.

You must not: (i) use our trademark in a misleading or disparaging way; (ii) use our trademark in a way that implies we endorse, sponsor or approve of your services or products; or (iii) use our trademark in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

6. Proprietary rights

No license to any software is granted by this Agreement. The Lodgify Services are protected by intellectual property laws. The Lodgify Services belong to and are the property of us or our licensors (if any). We retain all ownership rights in the Lodgify Services. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the Lodgify resources or the Lodgify Services in whole or in part, by any means, except as expressly authorized in writing by us.

Your feedback about the Aﬀiliate Program is welcome, though not required. If you share ideas, suggestions, comments, or other feedback with us, you hereby assign to us, and we will own, such ideas, suggestions, comments, or feedback without restriction or obligation of any kind.

7. Confidentiality

As used herein, “Confidential Information” means all confidential information disclosed by a party ("Disclosing Party") to the other party (“Receiving Party”), (i) whether orally or in writing, that is designated as confidential, and (ii) Lodgify customer and prospect information, whether or not otherwise designated as confidential. Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party or (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party. The Receiving Party shall: (i) protect the confidentiality of the Confidential Information of the Disclosing Party using the same degree of care that it uses with its own confidential information, but in no event less than reasonable care, (ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this Agreement, (iii) not disclose Confidential Information of the Disclosing Party to any third party, and (iv) limit access to Confidential Information of the Disclosing Party to its employees, contractors and agents. The Receiving Party may disclose Confidential Information of the Disclosing Party if required to do so under any federal, state, or local law, statute, rule or regulation, subpoena or legal process.

8. Disclosures

The Federal Trade Commission (FTC) has endorsement rules in place for aﬀiliate marketing. In short, you must disclose your business relationship with us when promoting and posting your link. You can read the full FTC rules about aﬀiliate marketing here.

Make it known to your readers and followers that you will receive compensation if they buy a product via your link. This declaration should be clear and conspicuous (and reiterated as much as needed). Again, you can read the FTC rules (and their quick FAQ) here.

9. Term and Termination

This Agreement will apply for as long as you participate in the Aﬀiliate Program until terminated.

You may terminate your participation in the Aﬀiliate Program at any time by sending a written request to us at aﬀiliates@lodgify.com.

We may terminate your participation in the Aﬀiliate Program at any time, in our sole discretion and without notice, for any reason, including but not limited to your breach of this Agreement. We may also consider archiving your account and termination of this Agreement if your account has been inactive for the last 6 months or if you decide to unsubscribe to our email marketing campaigns blocking any type of communication distribution.

Upon termination, access to your account will be restricted, and you shall not receive commissions for referrals generated after the termination date. Any validated commissions accrued prior to termination shall remain payable in accordance with this Agreement, unless termination results from fraud, material breach, or violation of this Agreement. All licenses and rights to use your account, any Lodgify resources, documentation, and trademarks will immediately terminate.

Upon termination of this Agreement for any reason, all provisions regarding indemnification, warranty, liability and limits thereon, and confidentiality and protection of proprietary rights, and any provisions which expressly or by their nature are required to survive such termination in order to achieve their purpose shall so survive until it shall no longer be necessary for them to survive in order to achieve their purpose.

10. Aﬀiliate representations and warranties

You represent and warrant that: (i) you have all suﬀicient rights and permissions to participate in the Aﬀiliate Program, (ii) your participation in this Aﬀiliate Program will not conflict with any of your existing agreements or arrangements; (iii) you own or have suﬀicient rights to use and to grant to us our right to use the Aﬀiliate Marks; (iv) you will not use the Aﬀiliate Program for any illegal or unauthorized purpose; (v) you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Aﬀiliate Program (for example, by clearly stating you are a Lodgify Aﬀiliate on any website(s) you own where you make an aﬀiliate link available).

11. Indemnity

You agree to indemnify and hold harmless us and our oﬀicers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from (a) your participation in the Aﬀiliate Program; (b) your noncompliance with or breach of any term of this Agreement; and (c) your violation of applicable law or any third party right, including without limitation any copyright, property, or privacy right. This indemnification obligation will survive the termination of this Agreement and your participation in the Aﬀiliate Program.

12. Disclaimers; Limitations of Liability

Disclaimer of Warranties. EXCEPT WHERE PROHIBITED BY LAW, THE AffILIATE PROGRAM IS PROVIDED "AS-IS" AND "AS AVAILABLE" AND WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON- INFRINGEMENT.

No Indirect Damages. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE GREATER OF (A) $50 (FIFTY) USD OR (B) ANY COMMISSIONS YOU PROPERLY RECEIVED IN THE PRIOR 6 (SIX) MONTHS. The existence of more than one claim will not enlarge this limit. The foregoing limitation of liability shall apply to the fullest extent permitted by law.

13. General

Amendment. We may update and change any part or all of this Agreement, including by replacing it in its entirety. If we update or change this Agreement, the updated Agreement will be made available to you on your aﬀiliate dashboard. The updated Agreement will become eﬀective and binding upon we post it. We encourage you to review this Agreement periodically. If any change to this Agreement is not acceptable to you, your sole remedy for such change is to stop participating in this Aﬀiliate Program. You can send a termination notice to aﬀiliates@lodgify.com.

No Waiver. No delay in exercising any right or remedy or failure to object will be a waiver of such right or remedy or any other right or remedy. A waiver on one occasion will not be a waiver of any right or remedy on any future occasion.

Applicable Law. This Agreement shall be governed by the English Law, without regard to the conflict of laws provisions thereof. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in the English courts.

Relationship of the Parties. Both you and we agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement. You may not act as our agent, on our behalf, or represent us, or bind us in any manner.

Compliance with Applicable Laws. You shall comply with all applicable foreign and domestic laws, governmental regulations, ordinances, and judicial administrative orders. You shall not engage in any deceptive, misleading, illegal or unethical marketing activities, or activities that otherwise may be detrimental to us, our customers, or to the public.

Severability. If any part of this Agreement is determined to be invalid or unenforceable by applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement will continue in eﬀect.

Entire Agreement. This Agreement is the entire agreement between us for the Aﬀiliate Program and supersedes all other proposals and agreements, whether electronic, oral or written, between us.

Electronic Notices. All notices, requests, claims, demands, and other communications regarding this Agreement should be addressed to aﬀiliates@lodgify.com. You agree to receive communications from us in an electronic form. Electronic notices will be delivered to your email address which you used for registration purposes. All communications in electronic format will be considered to be "in writing" and to have been received on the day that we send them.

Assignment. You will not assign or transfer this Agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of its assets, change of control, or operation of law, without our prior written consent. We may assign this Agreement to any aﬀiliate or in the event of a merger, reorganization, sale of all or substantially all of our assets, change of control, or operation of law.

14. Personal data

The parties acknowledge that in connection with the Aﬀiliate Program, each party may provide or make available to the other party personal data. To the extent that any personal data is processed in connection with the Aﬀiliate Program, the terms set forth in the Lodgify Data Processing Agreement (“Lodgify DPA”) shall apply. To obtain a copy of the Lodgify DPA, you can contact our aﬀiliate manager at aﬀiliates@lodgify.com.

Each party shall process the copy of the personal data in its possession or control: (i) in accordance with the Lodgify DPA (ii) as an independent controller (not as a joint controller with the other party) (iii) for the purposes described in this Agreement; and/or (iv) as may otherwise be permitted under applicable data protection laws.

This Aﬀiliate Program Agreement has been designed to ensure the highest quality partnership between us. Hopefully, we have explicitly stated our expectations and obligations for you to successfully perform your duty as a Lodgify Affiliate.
