Lodgify Referral Program Terms & Conditions

Access to and use of the Customer Referral Program (as defined below) is subject exclusively to the following terms and conditions (‘Terms’). These Terms form the complete agreement between Lodgify and you with respect to your participation in the Referral Program. It is a legal document so some of the language is necessarily “legalese” but we have tried to make it as readable as possible.

By signing up for the Customer Referral Program, you (the ‘Member’ or ‘you’) fully accept these Terms. If the Member does not accept these Terms, the Member must immediately stop using or participating in the Referral Program. If the Member nonetheless uses or participates in the Referral Program, it will be deemed to have agreed to be bound by these Terms. .

The provisions of these Terms are subject to change without prior notice. We might also choose to replace these provisions in their entirety if, for example, the Referral Program changes, ends, or becomes part of an existing program. If we update or replace these Terms, we will let you know by posting the updated agreement on your referral dashboard. If you do not agree to the update or replacement, you can choose to terminate as we describe below.

 

1. Applying to our Customer Referral Program

You are currently applying to our Customer Referral Program (“Referral Program”). Codebay Solutions Limited (‘Lodgify’, ‘us’, ‘we’ or ‘our’) reserves the right to decline or remove enrollment from the program at our discretion. 

Once your application has been accepted, you will be able to start sharing your referral link and earning referral rewards. If we do not notify you that you are accepted to participate in the Referral Program within thirty (30) days of your application, your application is considered to be rejected.

If you are accepted to participate in the Referral Program, then upon notification of acceptance, these terms shall apply in full force and effect, until terminated, pursuant to the terms set forth below. Your continued right to participate in the Referral Program is conditioned upon your ongoing compliance with the terms and conditions of these Terms. If you do not agree with (or cannot comply with) the terms and conditions set forth below, do not register for our Referral Program.

 

2. Who can join our Referral Program

Participation in our Referral Program is exclusively available to paying customers who use the Lodgify platform and remain up to date with their payments. Consequently, your membership in the Referral Program will be terminated if you are no longer a paying Lodgify customer.

Lodgify officers, directors and employees are excluded from the Referral Program.

 

3. Referral Dashboard

Once registered in the Referral Program, you shall be granted access to your referral dashboard. Your referral dashboard is unique to you. It contains everything you will need to promote Lodgify, our site, and our product (“Lodgify Services”), including:

  • Your personalized referral link
  • One-click social media sharing buttons
  • Marketing Materials
  • Referral Analytics

4. Referral link and Discount code

The Member shall be granted a personal discount code (hereinafter referred to as a ‘Discount Code’), which will allow new customers to register in Lodgify’s Platform through the Member’s referral link and obtain a discount, subject to the following conditions. 

Each referral link provided has a referral ID attached. You must post the full URL in order for us to track your sales and traffic, so please be sure to use your full referral link. The social media sharing shortcuts on your dashboard already have your full referral link embedded in their posts, so you do not need to worry about that when posting directly from the shortcuts.

 

Eligibility: 
New customers must meet the following criteria to use the Discount Code (“Referred Customer”):

  • Be a new customer of Lodgify Services (i.e. not an existing customer of Lodgify or a customer who has used Lodgify services in the past 6 months); 
  • Have used your referral link;
  • Not be an existing, active lead within our database;
  • Shall purchase Lodgify’s subscription corresponding to the relevant Discount Code;
  • Maintain an active subscription to Lodgify Services for at least forty (40) days after registration as a new customer; and
  • Be accepted by us as a valid new customer.

Discount code:
Each Discount Code is valid only for the first subscription purchase. Lodgify reserves the right to modify or cancel it at any time. The Discount Code is not transferable and may not be resold or redeemed for cash. If the Discount Code is not added at the moment of registration and subsequent purchase of any subscription, no commission will be due. 

Each Discount Code offers new customers a fifteen percent (15%) discount on their first payment for any Lodgify subscription plan, regardless of the selected billing cycle.

Usage:
The Discount Code is created for Customer Referral Program purposes only and it is forbidden to share it with anybody else or online.


How to use the Discount Code: 
To redeem the discount, the new customer must enter the Discount Code during the check-out process, at which time the discount will be applied per the terms of the specific promotion.

The Discount Code is limited to one coupon code per subscription and purchase. It cannot be combined with other offers using the promotional code.

Limitation of liability: 
Improper use of the Discount Code is prohibited and may constitute fraud. Any abuse or fraudulent use of the Discount Code may result in its cancellation and account suspension.  Lodgify reminds users of the nature and limitations of the Internet and does not accept any responsibility for any occurrences resulting from the users’ connection. No responsibility is accepted for ineligible or fraudulent use of the Discount Code.

This includes, without limitation, any damage (whether material or non-material) caused to users, to their computer equipment or to data that is stored on them, or to their personal, professional or commercial activities.

5. Referral Commissions

You will receive a commission on the subscription fees paid during the first twelve (12) months by each new and unique customer referred to Lodgify, provided all eligibility requirements are met. If a new purchase is made by a Referred Customer who visited our site through your referral link, we will register the purchase and attribute the sale to you. Your progress will be updated in real time on your referral dashboard.

For each new customer you refer to Lodgify, you will receive 15% of their monthly, yearly, or bi-yearly Lodgify payments for up to one year from the first subscription date. Commission does not apply to second-year renewals or additional purchases made after the initial 12-month period.

Commissions are calculated based on the net amounts received from new customers. For the purposes of these Terms, the net amount represents the total payments from a new customer to us minus any sales tax if applicable, and any reclaimed or refunded amounts.
Commission payments are issued once a month, starting 40 days after the initial sale. This is to make sure that the new customer does not cancel their subscription during our refund period. You can expect to receive payment by the first working Friday of each month. You can receive payment via PayPal. You must have a valid payment method in order to receive your commission payment. Notwithstanding the foregoing or anything to the contrary in these Terms, any commission owed to you will not be payable after 12 months from the accrual date if we have been unable to proceed with the payment, for instance, due to your failure to provide a valid and up-to-date payment method.

There are no guaranteed commissions or payouts. Our commission structure may be updated from time to time, and you will be informed of these updates via electronic means, including your referral dashboard, or by email. Any changes will become effective immediately after we post them or notify them. Your continued participation after any update will be considered as acceptance of the revised commission percentage and terms

We reserve the right to freeze, void, or reverse any or all commission at any time for any reason and without warning, including, but not limited to, any actual or suspected breach of this Agreement. In the event of any suspicious activity within your account, we may withhold commission payments until we are able to verify the transaction.

We will determine the currency in which we pay the commissions, as well as the applicable conversion rate.

You are responsible for filing all tax returns and submitting all payments as required by any federal, state, local, or foreign tax authority arising from the commission payment under these Terms and for the payment of all fees (including bank fees) applicable to the commission payment. Any amount due to you is considered as a gross payment and any tax or cost associated with such payment will be taken out of the commission. All amounts payable by us to you are subject to offset by us against any amounts owed by you to us. We reserve the right to alter or change the commission amount.

 

6. Restrictions

  1. a) You are prohibited from running any sort of advertising campaigns, including, but not limited to, Search Engine Marketing campaigns (e.g. Google Ads, Bing Ads, etc.), TikTok ads and Meta ads (Facebook and Instagram). Lodgify already runs advertising campaigns, so we ask our Members not to do it for our products and services to avoid interference with the success of our campaigns.
  2. b) You cannot  subscribe to Lodgify Services using your own personal referral link. If you do so, we reserve the right to suspend or delete your referral account immediately without paying any commission.
  3. c) Lodgify officers, directors, and employees are excluded from the Referral Program.
Notwithstanding any provision of these Terms, we are not be obligated to pay any Referral commissions if we determine, in our sole discretion, that:
  • You use your personal referral link to subscribe to Lodgify or you subscribe to more than one account.
  • You have engaged in any fraudulent or deceitful behavior in connection with the Referral Program, including, without limitation, if you, directly or indirectly, offer any person a financial or other incentives to complete the sign-up process using your referral link or attempt to redirect traffic from or divert Referral commissions from, any other participant in the Referral Program. 
  • You referred new customers to Lodgify without your personal referral link.
  • You referred new customers to Lodgify before your official acceptance into the Referral Program.
  • If the customer referred to Lodgify is not a new customer, meaning they already have a history with Lodgify, and this is not their first subscription.

We reserve the right to investigate any suspicious or inappropriate activity relating to the Referral Program and to delay payment of any Referral Rewards while we investigate your participation in the Referral Program or any use of your referral links. In addition, we reserve the right to suspend or delete your referral account immediately without commission.

 

7. Trademarks

You agree that we may identify you as a Member of our Referral Program and may use your name and/or logo solely for such purpose in its marketing materials. You furthermore grant us a worldwide, non-exclusive, non-transferable, and royalty-free license to use and display your trademarks, service marks, and logos (“Member Marks”) in connection with the Referral Program and  these Terms.

If we grant you permission to use our trademark during the term of this agreement, you may do so only in accordance with the usage guidelines outlined in this section.

You must: (i) only use the images of our trademark that we make available to you, without altering them in any way; (ii) only use our trademarks in connection with the Referral Program and these Terms (iii) comply with our usage guidelines; and (iv) immediately comply if we request that you discontinue use.

You must not: (i) use our trademark in a misleading or disparaging way; (ii) use our trademark in a way that implies we endorse, sponsor or approve of your services or products; or (iii) use our trademark in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.

 

8. Proprietary rights

No license to any software is granted by these Terms. Lodgify Services are protected by intellectual property laws. Lodgify Services belong to and are the property of us. We retain all ownership rights in Lodgify Services. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the Lodgify materials or the Lodgify Services in whole or in part, by any means, except as expressly authorized in writing by us.

Your feedback about the Referral Program is welcome, though not required. If you share ideas, suggestions, comments, or other feedback with us, you hereby assign to us, and we will own, such ideas, suggestions, comments, or feedback without restriction or obligation of any kind.

 

9. Confidentiality

As used herein, “Confidential Information” means all confidential information disclosed by a party ("Disclosing Party") to the other party (“Receiving Party”), (i) whether orally or in writing, that is designated as confidential, and (ii) Lodgify customer and prospect information, whether or not otherwise designated as confidential. Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party or (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party. The Receiving Party shall: (i) protect the confidentiality of the Confidential Information of the Disclosing Party using the same degree of care that it uses with its own confidential information, but in no event less than reasonable care, (ii) not use any Confidential Information of the Disclosing Party for any purpose outside the scope of this agreement, (iii) not disclose Confidential Information of the Disclosing Party to any third party, and (iv) limit access to Confidential Information of the Disclosing Party to its employees, contractors and agents. The Receiving Party may disclose Confidential Information of the Disclosing Party if required to do so under any federal, state, or local law, statute, rule or regulation, subpoena or legal process.

 

10. Disclosures

The Federal Trade Commission (FTC) has endorsement rules in place for affiliate marketing. In short, you must disclose your business relationship with us when promoting and posting your link. You can read the full FTC rules about affiliate marketing here.

Make it known to your readers and followers that you will receive compensation if they buy a product via your link. This declaration should be clear and conspicuous (and reiterated as much as needed). Again, you can read the FTC rules (and their quick FAQ) here.

 

11. Term and Termination

These Terms will apply for as long as you participate in the Referral Program until terminated.

You may terminate your participation in the Referral Program at any time by sending a written request to us at affiliates@lodgify.com, with a one (1) day prior notice.

We may terminate your participation in the Referral Program at any time, in our sole discretion and without notice, for any reason, including but not limited to your breach of these Terms.

Upon termination, access to your account will be restricted, and you shall not receive any further commissions, whether unpaid or potential. All licenses and rights to use your account, any Lodgify materials, documentation, and trademarks will immediately terminate. 

After such termination, the Member shall cease to access and/or use the Customer Referral Program.

Upon termination of this Agreement for any reason, all provisions relating to indemnification, warranties, liability (including any limitations thereof), confidentiality, and protection of proprietary rights, as well as any other provisions which, by their nature or explicit wording, are intended to survive, shall remain in effect for as long as necessary to fulfill their intended purpose.

Lodgify reserves the right to refuse any referral payout based on findings of its own investigations into suspected fraudulent activity.

 

12. Referral Member representations and warranties

You represent and warrant that: (i) you have all sufficient rights and permissions to participate in the Referral Program, (ii) your participation in this Referral Program will not conflict with any of your existing agreements or arrangements; (iii) you own or have sufficient rights to use and to grant to us our right to use the Member Marks; (iv) you will not use the Referral Program for any illegal or unauthorized purpose; (v) you will ensure that you are compliant with any trade or regulatory requirements that may apply to your participation in the Referral Program.

 

13. Indemnity

You agree to indemnify and hold harmless us and our officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from (a) your participation in the Referral Program; (b) your noncompliance with or breach of any provision of these Terms; and (c) your violation of applicable law or any third party right, including without limitation any copyright, property, or privacy right. This indemnification obligation will survive the termination of these Terms and your participation in the Referral Program.

 

14. Disclaimers; Limitations of Liability

Disclaimer of Warranties. EXCEPT WHERE PROHIBITED BY LAW, THE REFERRAL PROGRAM IS PROVIDED "AS-IS" AND "AS AVAILABLE" AND WE EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON- INFRINGEMENT.

No Indirect Damages. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

Limitation of Liability. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO THE GREATER OF (A) $50 (FIFTY) USD OR (B) ANY COMMISSIONS YOU PROPERLY RECEIVED IN THE PRIOR 6 (SIX) MONTHS. The existence of more than one claim will not enlarge this limit. The foregoing limitation of liability shall apply to the fullest extent permitted by law.

 

15. General

Amendment. We may update and change any part or all of these Terms, including by replacing it in its entirety. If we update or change these Terms, the updated Terms will be made available to you on your referral dashboard. The updated Terms will become effective and binding upon we post it. We encourage you to review these Terms periodically. If any change to these Terms is not acceptable to you, your sole remedy for such change is to stop participating in this Referral Program. You can send a termination notice to affiliates@lodgify.com.

No Waiver. No delay in exercising any right or remedy or failure to object will be a waiver of such right or remedy or any other right or remedy. A waiver on one occasion will not be a waiver of any right or remedy on any future occasion.

Applicable Law. These Terms shall be governed by the English Law, without regard to the conflict of laws provisions thereof. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in the English courts.

Relationship of the Parties. Both you and we agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of this Agreement. You may not act as our agent, on our behalf, or represent us, or bind us in any manner.

Compliance with Applicable Laws. You shall comply with all applicable foreign and domestic laws, governmental regulations, ordinances, and judicial administrative orders. You must not engage in any deceptive, misleading, unlawful, or unethical marketing practices, or in any activity that could harm Lodgify, its customers, or the public.

Severability. If any part of these Terms is determined to be invalid or unenforceable by applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms will continue in effect.

Entire Agreement. These Terms are the entire agreement between us for the Referral Program and supersedes all other proposals and agreements, whether electronic, oral or written, between us.

Electronic Notices. All notices, requests, claims, demands, and other communications regarding these Terms should be addressed to affiliates@lodgify.com. You agree to receive communications from us in an electronic form. Electronic notices will be delivered to your email address which you used for registration purposes. All communications in electronic format will be considered to be "in writing" and to have been received on the day that we send them.

Assignment. You will not assign or transfer this agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of its assets, change of control, or operation of law, without our prior written consent. We may assign this agreement to any Member or in the event of a merger, reorganization, sale of all or substantially all of our assets, change of control, or operation of law.

 

16. Personal data

The parties acknowledge that in connection with the Referral Program, each party may provide or make available personal data to the other party. To the extent that any personal data is processed in connection with the Referral Program, the terms set forth in the Lodgify Data Processing Agreement (“Lodgify DPA”) shall apply. To obtain a copy of the Lodgify DPA, you can contact affiliates@lodgify.com. 

Each party shall process the copy of the personal data in its possession or control: (i) in accordance with the Lodgify DPA (ii) as an independent controller (not as a joint controller with the other party) (iii) for the purposes described in these Terms and/or (iv) as may otherwise be permitted under applicable data protection laws.

This Referral Program Agreement has been designed to ensure the highest quality partnership between us. Hopefully, we have explicitly stated our expectations and obligations for you to successfully perform your duty as a Lodgify referral.
